Heritage Travel, Inc. (“Heritage Travel”) owns and provides the www.Gozaic.com, www.GoWithaPurpose.com, and www.HeritageTravelInc.com Web sites (collectively, the “Sites”). Heritage Travel is a subsidiary of the National Trust for Historic Preservation in the United States (the “National Trust”). The National Trust is not responsible for the Sites.
Access to and use of the Sites is subject to the following terms and conditions of use, including all terms, policies and guidelines incorporated by reference into these Terms of Use (“Terms of Use”) and all applicable laws. to use certain features of the Sites you will have to create an account (“Member Account”). Acceptance of these Terms of Useis a requirement for creating your Member Account and otherwise using the Sites.
BY CREATING A MEMBER ACCOUNT OR ACCESSING, BROWSING, OR OTHERWISE USING THE SITEs, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO THESE TERMS OF USE.
Heritage Travel may modify these Terms of Use from time to time and the modifications become effective upon posting on the Sites. You agree to be bound by any changes to these Terms of Use when you use the Sites after a modification is posted. Please review these Terms of Use regularly to ensure you are aware of any changes made. These Terms of Use constitute the entire agreement regarding your use of the Sites and the services offered on the Sites (“Services”) and supersede any prior terms.
Privacy Policy
Heritage Travel takes your privacy seriously. You confirm that you have read Heritage Travel’s Privacy Policy, which is incorporated into these Terms of Use by this reference. The Privacy Policy describes the collection, use, and sharing of certain personally identifiable information that you may be asked to provide in connection with creating a Member Account and otherwise using the Sites.
Site Content
Subject to the terms set forth under “Intellectual Property Rights in Member Generated Content” below, the intellectual property rights in content that Heritage Travel provides on the Sites, including without limitation, all text, graphics, artwork, photographs, site design, logos, trademarks, icons, images, audio or video clips, code, scripts and software, and their selection, arrangement and compilation (collectively, "Site Content"), are owned by Heritage Travel or its content suppliers. Site Content is subject to copyright, trademark, and other applicable laws of the United States and other countries.
You may not copy, reproduce, republish, transmit, disseminate, distribute, display, post, modify, create derivative works from, sell, license or otherwise use or exploit Site Content without Heritage Travel’s prior written consent. You may not use any data mining, robots or similar data gathering or extraction methods on the Sites or Site Content. You may not use Site Content for any commercial or competitive purposes or for any purpose that may be harmful or detrimental to the Sites or Heritage Travel.
During your visits to the Sites, you may view, copy and print reasonable portions of Site Content for your noncommercial, personal use, provided that you retain all copyright and other proprietary notices contained on or in the Site Content. Other “fair use” of Site Content as defined in the copyright law also is permitted. Fair use of copyrighted material includes the use of limited portions of Site Content for personal, educational or noncommercial purposes, such as teaching, scholarship, research, criticism, commentary, and news reporting. Users must cite the author and source of the content as they would material from any printed work. The citation must include all copyright information and other information associated with the content and the URL for the applicable Site. None of the content may be altered or modified and users must comply with all other terms or restrictions that may be applicable to any individual file, image or text included in the Site Content.
Trademarks
Gozaic, the Gozaic logo, the phrases “Connecting Through Places that Matter” and “Go With a Purpose,” the combined logo of Heritage Travel and the National Trust are registered and/or common law trademarks of Heritage Travel or the National Trust. They may not be copied, imitated or used, in whole or in part, without the prior written permission of Heritage Travel or the trademark holder. In addition, the look and feel of the Sites, including all page headers, custom graphics, button icons and scripts, is the service mark, trademark and/or trade dress of Heritage Travel or the National Trust and may not be copied, imitated or used, in whole or in part, without the prior written permission of Heritage Travel. All other trademarks, registered trademarks, product names and company names or logos mentioned in the Sites are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not necessarily constitute or imply endorsement, sponsorship or recommendation by Heritage Travel or the National Trust.
User Comments and Feedback
All comments, feedback, suggestions and ideas disclosed, submitted or offered to Heritage Travel relating to the Sites or your experience using the Sites ("Site Ideas"), shall be and remain the exclusive property of Heritage Travel and may be used by Heritage Travel in any medium in accordance with its Privacy Policy. Heritage Travel is not under any obligation to maintain your Site Ideas in confidence, to pay to you any compensation for any Site Ideas submitted, or to respond to any of your Site Ideas.
Member Generated Content
The Sites may provide you and others an opportunity to submit, post, display, transmit or exchange travel reviews, itineraries, photographs, images, video clips, commentary, opinions, and other copyrightable materials or other information, messages or content (“Member Generated Content”). Member Generated Content does not necessarily reflect the views of Heritage Travel or the National Trust. Heritage Travel does not assume responsibility for editing, reviewing, selecting, censoring or otherwise controlling the publication of Member Generated Content. To the extent permitted by law, Heritage Travel disclaims responsibility or liability arising from any Member Generated Content.
Heritage Travel encourages the open debate of ideas, but you are strictly prohibited from creating, posting or transmitting any “Prohibited Content,” or including any Prohibited Content in any Member Generated Content. Prohibited Content is any content that
- is obscene, scandalous, pornographic, indecent, lewd, or profane
- is unlawful or could encourage conduct that is unlawful
- could give rise to civil liability
- is threatening, harassing, intimidating, abusive, racially offensive or inflammatory
- constitutes an “ad hominem” or personal attack
- is libelous, defamatory or otherwise tortuous
- impersonates another person or misrepresents an affiliation with another entity
- is harmful to minors
- infringes on or violates any intellectual property, publicity, privacy, contract or other legal rights
- misappropriates any trade secret
- constitutes unauthorized disclosure of private information of a third party, such as addresses, phone numbers, email addresses, Social Security numbers, or credit card numbers
- constitutes political campaigning, or an advertisement or solicitation
- contains any malicious software code
Although Heritage Travel assumes no responsibility for doing so, you understand and agree that Heritage Travel may review, edit, modify, delete, or reject, with or without notice, any Member Generated Content, whether posted publicly or privately to another member, that in Heritage Travel’s sole discretion is Prohibited Content, otherwise violates these Terms of Use, or is otherwise inappropriate for a Site. Heritage Travel in its sole discretion will determine what is and is not allowed on the Sites. For assistance with content removed from a Site, please contact Heritage Travel as indicated under “Comments and Questions” below.
Any use of the Sites in violation of these Terms of Use may result, among other things, in the termination or suspension of your rights to use the Sites.
You should assume that Heritage Travel will cooperate fully with law enforcement authorities investigating the activities of users of the Sites and will comply fully with subpoenas and court orders requesting the disclosure of information relating to the activities of users of the Sites.
Intellectual Property Rights in Member Generated Content
If you create, post or transmit any Member Generated Content on or to the Sites, you represent and warrant that: (a) you own the Member Generated Content or otherwise have the right to grant the license set forth below; (b) the Member Generated Content is reasonably accurate and not misleading; and (c) the Member Generated Content does not contain any Prohibited Content. Heritage Travel will not assert ownership of Member Generated Content. You grant Heritage Travel and its affiliates a nonexclusive, worldwide, paid-up, royalty-free, perpetual, irrevocable, transferable and fully-sublicensable right and license to use, reproduce, modify, adapt, translate, distribute, publish, create derivative works of and publicly display and perform the Member Generated Content in any media, now known or hereafter devised. For the avoidance of doubt, you hereby acknowledge that Heritage Travel may make a commercial use, display, distribution, reproduction, or performance of Member Generated Content and, as a result, cause your Member Generated Content to be associated with a particular advertiser. You further grant Heritage Travel the right to pursue at law any person or entity that violates your or Heritage Travel’s rights in the Member Generated Content.
Member Generated Content will not be considered confidential and Heritage Travel is under no obligation to treat such content as proprietary information. Heritage Travel shall have no duty to attribute authorship of Member Generated Content to you, and shall not be obligated to enforce any form of attribution to you or third parties. If it is determined that you retain moral rights (including rights of attribution or integrity) in any Member Generated Content, you hereby declare that (a) you do not require that any personally identifying information be used in connection with the Member Generated Content, or any derivative works of or upgrades or updates thereto; (b) you have no objection to the publication, use, modification, deletion and exploitation of the Member Generated Content by Heritage Travel, its affiliates or any of their licensees, successors and assigns; (c) you forever waive and agree not to claim or assert any entitlement to any and all moral rights of an author in any of the Member Generated Content; and (d) you forever release Heritage Travel, its affiliates and their licensees, successors and assigns, from any claims that you could otherwise assert against any of them by virtue of any such moral rights.
No Archive
The Sites do not provide archival capability. You are solely responsible for creating backup copies of Member Generated Content (at locations other than the Sites), and replacing any Member Generated Content that is lost, damaged or destroyed while on a Site. Heritage Travel shall have no liability to you or any other person for loss, damage, or destruction of any Member Generated Content.
Member Accounts
Certain Services available through the Sites will require you to create a Member Account. You must be 18 years of age or older to create a Member Account. You agree to provide accurate, current and complete information when creating a Member Account and to update your Member Account information promptly if it changes. You may not use someone else’s Member Account without permission from that member. You are solely responsible for the activity that occurs on your Member Account and for keeping your password secure. You must notify Heritage Travel immediately of any breach of security or unauthorized use of your Member Account. Although Heritage Travel will not be liable for any losses caused by any unauthorized use of your Member Account, you may be liable for Heritage Travel losses or the losses of others due to such unauthorized use.
Commercial Use of the Sites is Prohibited
Companies and businesses may not create Member Accounts and may not use the Sites or Services for any purpose without Heritage Travel’s prior express written consent. The Sites are intended for the personal use of members and commercial activities that are not expressly authorized by Heritage Travel are prohibited.
Protecting Child Privacy
The Sites are not designed for or directed to children under the age of 13 and Heritage Travel asks that children under the age of 13 not submit any personally identifiable information. Heritage Travel wants you to be aware that parental control protections (such as computer hardware, software, or filtering services) are commercially available and may assist you in limiting access to material that is harmful to minors. Advertisements and Promotions
Heritage Travel may run advertisements and promotions from third parties on the Sites. Your business dealings or correspondence with, or participation in promotions of advertisers other than Heritage Travel, and any terms, conditions, warranties or representations associated with such dealings, are solely between you and the third party. Heritage Travel is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of third party advertisers on the Sites.
Pricing Errors
Heritage Travel endeavors to publish and maintain accurate prices and information for Services offered through the Sites. In the event that a Service is listed or offered at an incorrect price or with incorrect information due to typographical or other error, Heritage Travel retains the right to refuse or cancel any requests placed for the Service whether or not the order has been confirmed and/or your credit card has been charged. If your credit card has already been charged for the purchase and your request is canceled because of incorrect information, Heritage Travel will promptly issue a credit to your credit card account in the amount of the charge.
Hyperlinks
You are granted a limited, revocable, nonexclusive right to create a text hyperlink to the Sites for noncommercial purposes, provided that you do not portray Heritage Travel or any of its products or Services in a false, misleading, derogatory or otherwise defamatory manner and provided further that the linking Web site does not contain any adult or illegal material or any material that is, in Heritage Travel’s sole opinion, offensive, harassing or otherwise objectionable. This limited right may be revoked at any time. You may not use a Gozaic.com or Heritage Travel logo or other proprietary graphic of Heritage Travel to link to the Sites without the express written permission of Heritage Travel. Further, you may not use, frame or utilize framing techniques to enclose any Heritage Travel trademark, logo or other proprietary information, including any Site Content, without Heritage Travel’s express written consent.
The Sites may contain links to third party Web sites (“Third Party Sites”) and third party content (“Third Party Content”) as a service to those interested in this information. You use links to Third Party Sites, and any Third Party Content therein, at your own risk. Heritage Travel does not monitor or have any control over and makes no claim or representation regarding Third Party Content or Third Party Sites. Heritage Travel provides these links only as a convenience and a link to a Third Party Site or Third Party Content does not imply Heritage Travel's endorsement, adoption or sponsorship of or affiliation with such Third Party Site or Third Party Content. Heritage Travel accepts no responsibility for reviewing changes or updates to or the quality, content, policies, nature or reliability of Third Party Content, Third Party Sites, or Web sites linking to the Sites. When you leave the Sites, these Terms of Use no longer govern. You should review applicable terms and policies, including privacy and data gathering practices, of any Third Party Site, and should make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any third party.
Copyright Complaint Policy
If you believe in good faith that materials contained on the Sites infringe your copyright, please notify us in writing. Your notice must include the following
· a clear identification of the copyrighted work you claim was infringed
· a clear identification of the material you claim is infringing the copyrighted work, and information that will allow us to locate that material on the Sites, such as a link to the infringing material
· your contact information so that we can reply to your complaint, preferably including an email address and telephone number
· the following statement: "I have a good faith belief that the material that is claimed as copyright infringement is not authorized by the copyright owner, its agent, or the law."
· the following statement: "I swear, under penalty of perjury, that the information in this notification is accurate and I am the copyright owner, or am authorized to act on behalf of the owner, of an exclusive right that is allegedly infringed."
· the physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed

Heritage Travel suggests that you consult your legal advisor before filing a notice or counter-notice. You may be liable for damages (including costs and attorneys fees) if you make a false claim of copyright infringement.
Heritage Travel will review and address all notices that comply with the requirements above.
In accordance with the Digital Millennium Copyright Act ("DMCA") and other applicable law, Heritage Travel has adopted a policy of terminating, in appropriate circumstances and at Heritage Travel’s discretion, users or members who are deemed to be repeat infringers. Heritage Travel may also in its sole discretion limit access to the Sites or terminate Member Accounts of any members who infringe any intellectual property rights of others, whether or not there is any repeat infringement.
WARRANTY DISCLAIMER
EXCEPT AS EXPRESSLY PROVIDED TO THE CONTRARY IN A WRITING BY HERITAGE TRAVEL, THE SITES, SERVICES, SITE CONTENT, AND USER GENERATED CONTENT ARE PROVIDED ON AN "AS IS" BASIS, AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HERITAGE TRAVEL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT. HERITAGE TRAVEL DOES NOT REPRESENT OR WARRANT THAT THE SITES, SERVICES, SITE CONTENT, OR USER GENERATED CONTENT ARE ACCURATE, COMPLETE, SECURE, RELIABLE, CURRENT OR ERROR-FREE OR WILL MEET YOUR EXPECTATIONS. IF applicable law DOES not permit the exclusion of certain express or implied warranties, then Heritage Travel grants the minimum express or implied warranty required by applicable law.
No advice or information, whether oral or written, obtained by you from Heritage Travel employees, agents, suppliers or any other persons shall create any warranty, representation or guarantee not expressly stated in this section.
Heritage Travel reserves the right to change any part of the SiteS at any time without notice.
Heritage Travel DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT, OPINION, ADVICE, RECOMMENDATION OR SERVICE PROMOTED, ADVERTISED OR OFFERED OR MADE AVAILABLE THROUGH THE SITES, ANY SITE CONTENT OR USER GENERATED CONTENT OR ANY HYPERLINKED SITE FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND Heritage Travel WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND other users of the SiteS.
WHILE HERITAGE TRAVEL ATTEMPTS TO MAKE YOUR ACCESS TO AND USE OF THE SITES AND SERVICES SAFE, HERITAGE TRAVEL CANNOT AND DOES NOT REPRESENT OR WARRANT THAT THE SITES OR THEIR SERVER(S) ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THEREFORE, YOU SHOULD USE INDUSTRY-RECOGNIZED SOFTWARE TO DETECT AND DISINFECT VIRUSES FROM ANY DOWNLOAD.
LIMITATION OF LIABILITY
YOU WAIVE AND COVENANT NOT TO ASSERT ANY CLAIMS OR ALLEGATIONS OF ANY NATURE WHATSOEVER AGAINST HERITAGE TRAVEL, ITS AFFILIATES, OR ITS OR THEIR DIRECTORS, TRUSTEES, OFFICERS, EMPLOYEES OR AGENTS ARISING OUT OF OR IN ANY WAY RELATING TO YOUR USE OF THE SITES, SERVICES, SITE CONTENT OR USER GENERATED CONTENT. YOU USE THESE AT YOUR OWN RISK.
WITHOUT LIMITING THE FOREGOING, HERITAGE TRAVEL, ITS AFFILIATES, ITS SERVICE PROVIDERS AND PARTIES PROVIDING SITE CONTENT AND USER GENERATED CONTENT SHALL NOT BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SITES, SERVICES, SITE CONTENT OR USER GENERATED CONTENT, INCLUDING WITHOUT LIMITATION DAMAGES CAUSED BY OR RESULTING FROM YOUR RELIANCE ON ANY SITE CONTENT, USER GENERATED CONTENT OR OTHER INFORMATION OBTAINED FROM HERITAGE TRAVEL OR ACCESSIBLE VIA THE SITES, OR THAT RESULT FROM MISTAKES, ERRORS, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO HERITAGE TRAVEL'S RECORDS, PROGRAMS OR SERVICES. The foregoing shall apply even if Heritage Travel was advised of the possibility of such damages.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF HERITAGE TRAVEL, ITS AFFILIATES, ITS SERVICE PROVIDERS, AND PARTIES PROVIDING SITE CONTENT AND USER GENERATED CONTENT, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF THE SITES, SERVICES, SITE CONTENT OR USER GENERATED CONTENT, EXCEED THE COMPENSATION YOU PAY, IF ANY, TO HERITAGE TRAVEL FOR ACCESS TO OR USE OF THE SITES OR SERVICES.
If you become dissatisfied in any way with the SiteS, SERVICES, SITE CONTENT, USER GENERATED CONTENT, or THESE Terms of Use or THE Privacy Policy, your sole and exclusive remedy is to stop your use of the SiteS and services.
Because some states MAY not allow the disclaimer of CERTAIN implied warranties or the exclusion or limitation of certain types of damages, these provisions may not FULLY apply to you. If any portion of this limitation of liability is found to be invalid or unenforceable for any reason, then the aggregate liability of Heritage Travel, its affiliates, ITS SERVICES PROVIDERS AND PROVIDERS OF SITE CONTENT AND USER GENERATED CONTENT shall not exceed one hundred dollars ($100). The limitation of liability herein is a fundamental element of the basis of the bargain and reflects a fair allocation of risk. The SiteS would not be provided without such limitations and you agree that the limitations and exclusions of liability, disclaimers and exclusive remedies specified herein will survive even if found to have failed in their essential purpose.
Indemnification
You agree to defend, indemnify and hold harmless Heritage Travel, its affiliates, and its and their partners, directors, officers, trustees, employees and agents from and against any and all claims, actions, suits or proceedings, and all losses, liabilities, damages, costs and expenses (including reasonable attorneys fees) arising out of or accruing from (a) any User Generated Content created, posted or transmitted on or to any Site or otherwise provided by you that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy; (b) any misrepresentation made by you in connection with your use of the Sites or Services; (c) any noncompliance by you with the terms and conditions of these Terms of Use; and (d) claims brought by persons or entities other than the parties to these Terms of Use arising from or related to your access and use of the Sites and Services.
Applicable Law and Venue
The Sites (not including Third Party Sites and Third Party Content) are owned and provided by Heritage Travel from a hosting site in the United States of America. While Heritage Travel has made no effort to publish the Sites elsewhere, the Sites are accessible in all states of the United States of America and in other countries.
If you are attempting to access the Sites from a location with laws or regulations governing personal data collection, use, and disclosure that differ from United States laws, please be advised that through your use of the Sites, which is governed by United States laws and these Terms of Use, you are transferring your personal information to the United States and you consent to such transfer and the application of the laws of the United States.
You and Heritage Travel both benefit from establishing a predictable legal environment for the Sites. Therefore, you and Heritage Travel agree that all disputes, claims or other matters arising from or relating to your use of the Sites will be governed by the laws of the District of Columbia, United States of America, without regard to its conflicts of law principles. You agree that all claims you may have against Heritage Travel arising from or relating to the Sites will be heard and resolved in a court of competent subject matter jurisdiction located in the District of Columbia. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objection to proceeding in such courts. If you choose to access the Sites from locations other than the District of Columbia, you will be responsible for compliance with all local laws of such other jurisdiction.
Severability
If any provision of these Terms of Use is deemed to be void, unlawful or unenforceable for any reason, all other provisions contained herein shall remain in full force and effect. These Terms of Use constitute the entire agreement between the parties as to matters relating to the Sites and may only be modified by a writing signed by both parties.
You affirm that you are more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with them.
